Uniform Commercial Code UCC

The attorneys of Morgan & Pottinger, P.S.C., understand the significance of the UCC to our business clients. M&P maintains a UCC library that is perhaps the most comprehensive in Kentucky.

Experienced Kentucky Uniform Commercial Code Attorneys

Since the UCC was adopted in Kentucky, our attorneys have overseen the process through which the UCC has been updated and revised. John McGarvey, one of our shareholders, serves on the American Bar Association's UCC Committee and has chaired the Kentucky UCC drafting committee. In addition, John is an adjunct professor at the University of Kentucky College of Law, has testified as an expert witness on UCC matters, and has trained and taught individuals about UCC laws at national and local seminars.

The UCC laws affect most, if not all, businesses, including financial institutions, lenders, mortgage companies, finance companies, retailers, wholesalers, distributors, suppliers, shipping companies, and other companies purchasing or selling goods and services. We are equipped to handle all UCC issues that arise, including the following:

  • UCC Article 2 - Sales
  • UCC Article 2A - Leases
  • UCC Article 3 - Commercial Paper
  • UCC Article 4 - Bank Deposits and Collections
  • UCC Article 4A - Funds Transfers
  • UCC Article 5 - Letters of Credit
  • UCC Article 6 - Bulk Transfers
  • UCC Article 7 - Warehouse Receipts, Bills of Lading, and Other Documents of Title
  • UCC Article 8 - Investment Securities
  • UCC Article 9 - Secured Transactions

Most UCC matters we handle on behalf of clients involve UCC Article 2 (including risk of loss issues, delivery issues, breach of warranty issues, and purchase and sale agreements), UCC Article 3 and 4 (including midnight deadline and presentment issues, payment systems, stop payment issues, and presentment and transfer warranties), UCC Article 5 (letter of credit issues), and UCC Article 9 (including perfecting security interests and priority disputes).
